PSS World Medical Announces Closing of Offering of $250 Million of Senior Notes

JACKSONVILLE, Fla., Feb. 24, 2012 (GLOBE NEWSWIRE) -- PSS World Medical, Inc. (Nasdaq:PSSI) announced today the closing of its private offering of $250 million aggregate principal amount of 6.375% senior notes due 2022. The notes bear interest at a rate of 6.375% per annum and were issued at a price of 100% of their principal amount.

The Company intends to use a portion of the net proceeds from the offering to repay borrowings under its credit facility and to partially pre-fund the repayment of its 3.125% convertible notes due 2014 and for general corporate purposes, including potential repurchases of common stock and acquisitions.

The notes were offered inside the United States to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act.

The notes have not been registered under the Securities Act or applicable state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.
