Extraordinary General Shareholders' Meeting of PubliGroupe affirms integration into the Swisscom Group
Lausanne, 24 October 2014 - The Extraordinary General Meeting of PubliGroupe has adopted numerous resolutions endorsing the integration of the company into the Swisscom Group.
At the Extraordinary General Meeting, Ueli Dietiker was selected as Chairman of the Board along with Mario Rossi, Thomas Schönholzer (all Swisscom) and Hans-Peter Rohner (previous) as members of the Board of Directors.
In addition, the General Meeting granted approval of the sale of the 25.07% participation in FPH Freie Presse Holding AG to the AG für die Neue Zürcher Zeitung (NZZ-Mediengruppe). Announced on 5 May 2014, this transaction can now be carried out (closing anticipated on 3 November 2014).
The General Meeting also ratified the sale of PubliGroupe's participation in LTV Yellow Pages Ltd (51%) and Swisscom Directories AG (49%) to Swisscom. Following the conclusion of this transaction, Swisscom will fully control both companies and thus be able to consolidate them into a single company and efficiently pursue its future development.
The Extraordinary General Meeting moreover confirmed certain amendments to the Articles of Association for the further integration of PubliGroupe into the Swisscom Group.

The Compensation Committee (Compensation and Nomination Committee) and Audit Committee consist of Mario Rossi, Chairman, Hans-Peter Rohner and Thomas Schönholzer.
