GRANT OF CALL OPTION TO HERITAS HELIOS INVESTMENTS PTE. LTD. - EXPIRY OF CALL OPTION
  1. INTRODUCTION

    The Board of Directors (the "Board") of Q & M Dental Group (Singapore) Limited (the "Company") refers to the following announcements of the Company:

  2. the announcement dated 26 May 2014 in relation to, amongst other things, the grant of a call option (the "Call Option") to Heritas Helios Investments Pte. Ltd. ("HHI") to subscribe for up to 63,000,000 new ordinary shares in the capital of the Company pursuant to a call option agreement dated 24 May 2014 (the "Call Option Agreement");

  3. the announcement dated 22 September 2014 in relation to entry into a supplemental agreement to the Call Option Agreement with HHI;

  4. the announcement dated 28 October 2014 in relation to the receipt of approval-in- principle from the Singapore Exchange Securities Trading Limited (the "SGX-ST"); and

  5. the announcement dated 22 April 2016 in relation to the expiry date of the Call Option Agreement.

    (collectively the "Previous Announcements").

    Unless otherwise defined herein, all capitalised terms and references used herein shall bear the same meaning ascribed to them in the Previous Announcements.

  6. EXPIRY OF CALL OPTION

  7. The Board wishes to announce that as of 23 May 2016, the Company has not received any exercise notice from HHI in relation to the Call Option. As such, the Call Option has expired in accordance with the terms of the Call Option Agreement.

    As at the date of this announcement, there are no outstanding options or other convertible securities convertible into Shares of the Company.
