RCS MEDIAGROUP S.P.A. Notification of Change in Share Capital
Milan, 12 June 2014 - Pursuant to Article 85-bis of the Regulation adopted by Consob Resolution no. 11971 of 14 May 1999, as amended, and Article 2.6.2., paragraph 1, letter a) of the Regulations of the Markets organized and managed by Borsa Italiana S.p.A., we hereby announce the new composition of the share capital, fully subscribed and paid, as a result of the conversion of Category A and Category B preferred shares into common shares voted by the Extraordinary General Meeting of RCS MediaGroup on 8 May 2014.
The Articles of Association amended as a result of this conversion have been filed with the Register of Companies of Milan, on today's date.
