PRESS RELEASE 2017 CORPORATE EVENTS CALENDAR

Milan, December 15, 2016 - The Board of Directors of Retelit S.p.A. today approved, in accordance with Article 2.6.2., No. 1, letter b) of the Regulation of markets organised and managed by Borsa Italiana S.p.A. (the "Borsa Regulation"), the following calendar of key corporate events planned for 2017.

  • March 15, 2017- Board of Directors meeting to review the consolidated financial statements of the Retelit Group and the statutory financial statements of Retelit S.p.A. at December 31, 2016.
  • April 27, 2017 - Shareholders' AGM to review the statutory financial statements at December 31, 2016.
  • May 11, 2017 - Board of Directors meeting to review the interim report at March 31, 2017.
  • August 2, 2017 - Board of Directors meeting to review the 2017 half-year financial report.
  • November 9, 2017 - Board of Directors meeting to review the interim report at September 30, 2017. Any changes to the above dates will be communicated in a timely manner.

For the announcement of the 2016 financial statement results, in addition to the 2017 half-year report and the interim

reports, conference calls will be held to present the Retelit Group's results to the financial market.

Legislative Decree No. 25 of February 15, 2016, which transposes Directive 2013/50/EC (implementing amendments to Directive 2004/109/EC - the "Transparency Directive"), removed the obligation upon listed issuers in Italy, as a member state, to publish their interim reports and granted CONSOB the option to require such issuers to publish "additional periodic financial disclosure". Following consultation, CONSOB added the new Article 82-ter to the Issuer's Regulation, to be applied from January 2, 2017, which expressly permits issuers to continue to communicate to the market - entirely on a voluntary basis - "additional periodic financial disclosure" to the annual and half-year reports, in compliance with the principles and application criteria set out by the provision in question.

With particular regard to issuers trading on the STAR segment of the MTA market managed by Borsa Italiana (on which the company is listed), the Borsa Regulation establishes specific and further requirements in terms of disclosure, liquidity and corporate governance in order to ensure high quality standards and easy access to information. In particular, Article 2.2.3., paragraph 3 of the Borsa Regulation requires STAR issuers to make available to the market their interim reports within forty-five days from the conclusion of the first, third and fourth quarters of the year, while the above-stated issuers are exempted from publication of the fourth quarter report where they make available to the market their annual financial report, together with the other documents required by Article 154-ter, first paragraph of Legislative Decree No. 58 of February 24, 1998 ("TUF"), within ninety days from year-end. With notice No. 7587 of April 21, 2016, Borsa Italiana S.p.A. clarified that Article 2.2.3., paragraph 3, will continue to be applied to STAR issuers.

Consequently, the company will continue to make available to the market their interim reports, as has occurred to date, making particular reference to the provisions of Article 154-ter, paragraph 5 of the TUF in force prior to transposition of Directive 2013/50/EC.

In addition, the company is required to comply with the principles and application criteria indicated by the new Article 82-

ter of the Issuer's Regulation.

The company will continue therefore to publish the interim reports, outlining and commenting upon, together with significant events in the period, the key consolidated financial indicators of the Retelit Group and in particular revenues, EBITDA and EBIT, in comparison with the figures for the same period of the previous year. The company will in addition present the consolidated income statement and the cash flow statement, also in comparison with the figures for the same period of the previous year, together with the consolidated balance sheet, the changes to shareholders' equity and the net financial position, these latter compared with the prior year-end figures.

The company shall comply with the publication deadlines for the interim reports, subject to amendments or interruptions in accordance with Article 82-ter, paragraph 2 of the Issuer's Regulation, which in any case will be communicated to the market. In this manner, the company will ensure the consistency (i.e. over time of the criteria adopted and the absence of conflicts between published information) and the correctness of the data provided in the interim reports, in addition to the comparability of the relative elements of information with the corresponding data in preceding financial reports.

The approval and publication of the interim reports by the company will take place, in accordance with Article 2.2.3., paragraph 3, letter a) of the Borsa Regulation, within forty-five days from conclusion of the first, third and fourth quarters of the year. Based on the above-stated provision, the company, as established in this calendar, will not prepare therefore the fourth quarter report as the annual financial report and the other documents as per Article 154-ter, paragraph 1 of the CFA - i.e. the Directors' Report and the declaration of the executive officer, in addition to the reports of the Board of Statutory Auditors and the independent audit firm - will be made available to the public within ninety days from year-end.
