Publication of Scheme Document for Recommended Offer for Rexam by Ball

On 19 February 2015, the Boards of Rexam PLC ('Rexam') and Ball Corporation ('Ball') announced that they had agreed the terms of a recommended cash and share offer under which Ball (through its wholly-owned subsidiary Ball UK Acquisition Limited) will acquire the entire issued and to be issued ordinary share capital of Rexam (the 'Offer').

On 25 April 2016 Ball announced the waiver of the Pre-Condition to the Offer set out in the Announcement and hence the Offer will now, as planned, be effected by means of a scheme of arrangement of Rexam under Part 26 of the Companies Act 2006 (the 'Scheme').

Rexam has today issued and sent out the Scheme circular for Rexam shareholders (the 'Scheme Document'). This document includes the full terms and conditions of the Scheme, an explanatory statement (in compliance with section 897 of the Companies Act 2006), notice of the Court Meeting and General Meeting (as these terms are defined in the Scheme Document), and details of the actions to be taken by Rexam shareholders.

The Scheme Document will be available on Rexam's website (www.rexam.com). A copy of the Scheme Document will also be submitted to the National Storage Mechanism and will be available in due course for inspection atwww.morningstar.co.uk/uk/NSM.

In addition, a prospectus relating to the new shares to be issued by Ball in connection with the Offer is expected to be made available today on Ball's website (www.ball.com).

Notices of the Court Meeting and General Meeting

Notices of the Court Meeting and the General Meeting, which will both be held at The Auditorium, Freshfields Bruckhaus Deringer LLP, Northcliffe House, 26-28 Tudor Street, London EC4Y 0BQ on 8 June 2016, are set out in the Scheme Document. The Court Meeting will start at 11.00 a.m. and the General Meeting at 11.15 a.m. (or as soon thereafter as the Court Meeting shall have been concluded or adjourned).

Timetable

An expected timetable of principal events relating to the Scheme is set out below. The expected date of the Scheme Court Hearing (to sanction the Scheme) and each of the subsequent dates set out in this timetable could be subject to change. These dates will depend, among other things, on the date on which the regulatory and other Conditions to the Scheme and the Offer (as described further in the Scheme Document) are satisfied or, if capable of waiver, waived.

If any of the key dates set out in the timetable change, Rexam will give notice of this change by issuing an announcement through a Regulatory Information Service and by making such announcement available on Rexam and Ball's websites at www.rexam.com and www.ball.com, respectively.

Prior to the date of the Scheme Court Hearing, Rexam will, among other things, be required to give notice of the hearing by advertisement.

(1) Unless otherwise stated, all references in this document to times are to London times.

(2) A BLUE Form of Proxy for the Court Meeting not so lodged may be handed to a representative of Equiniti at the venue of the Court Meeting or the Chairman of the Court Meeting before the start of the Court Meeting. However, the WHITE Form of Proxy for the General Meeting must be lodged by 11.15 a.m. on 6 June 2015 or 48 hours before any adjourned meeting in order to be valid.

(3) If either the Court Meeting or the General Meeting is adjourned, the Scheme Voting Record Time for the relevant adjourned meeting will be 6.00 p.m. on the second Business Day before the date set for such adjourned Meeting.

(4) To commence at 11.15 a.m. or, if later, immediately after the conclusion or adjournment of the Court Meeting.

(5) Ball and Ball UK Acquisition Limited have agreed with Rexam that, unless they have, on or before 22 June 2016, notified Rexam that all of the Regulatory Conditions have been satisfied or waived, they will, if so requested by Rexam, agree to an extension of the expected date of the Scheme Court Hearing for the purposes of Condition 1(a)(iii) in Part A of Part III of the Scheme Document until 26 July 2016. The Rexam Directors intend that Rexam will make an application to the Court to sanction the Scheme as soon as reasonably practicable following the satisfaction or waiver of the Regulatory Conditions.

(6) The latest date by which the Scheme must be implemented may be extended by agreement between the Company and Ball with the prior consent of the Panel and (if required) the approval of the Court.

(7) The Depositary will deliver New Ball Shares to and pay Rexam ADR Holders as soon as practicable after it receives the New Ball Shares and cash due to it under the Offer.

If two or more persons act together pursuant to an agreement or understanding, whether formal or informal, to acquire or control an interest in relevant securities of an offeree company or a securities exchange offeror, they will be deemed to be a single person for the purpose of Rule 8.3.

Opening Position Disclosures must also be made by the offeree company and by any offeror and Dealing Disclosures must also be made by the offeree company, by any offeror and by any persons acting in concert with any of them (see Rules 8.1, 8.2 and 8.4).
