Marilù Capparelli nominated Lead Independent Director
Establishment of the Audit and Risk Committee and Compensation and Appointments Committee

Milan, 3 October 2016 - RCS MediaGroup Board of Directors, in a meeting today chaired by Urbano Cairo, appointed Urbano Cairo as Chief Executive Officer.

The Board positively assessed - based on the statements made by the interested parties and what was reported by the Company - the existence of the independence requirements included in article 148, paragraph 3, of Legislative Decree no.58/1998 and the Code of Conduct for listed companies under the auspices of the Directors Maria Capparelli, Carlo Cimbri, Alessandra Dalmonte, Diego Della Valle, Veronica Gava, Stefania Petruccioli and Marco Tronchetti Provera.

The Director Marilù Capparelli was nominated Lead Independent Director, pursuant to the relevant provisions of the Code of Conduct.

Lastly, the Board established the following Committees, appointing the members and their respective Chairmen:
Audit and Risk Committee: Stefania Petruccioli (Chairman) Alessandra Dal Monte, Veronica Gava,.
Compensation and Appointments Committee: Marilù Capparelli (Chairman), Diego Della Valle, Stefania Petruccioli.
