Appointed Maurizio Costa Chairman and Pietro Scott Jovane Chief Executive Officer

Milan, 23 April 2015 - The Board of Directors met after the Shareholders' Meeting and elected Maurizio Costa Chairman and Pietro Scott Jovane Chief Executive Officer.

In connection with the directors who declared they have the independence requirements at the time their candidacies were submitted, the Board made a positive assessment of the existence of these requirements, also on the basis of what emerges at the Company, with the exception - regarding the criteria provided for by the Corporate Governance Code for Listed Companies - of Maurizio Costa, and, as a consequence, of his election to the office of Chairman. The Board also positively evaluated the independence pursuant to the criteria contained in Article 148, paragraph 3 of Italian Legislative Decree no. 58/1998 of the Auditors appointed by the Shareholders' Meeting.
