Ad-hoc: Price range set for home24 IPO

- Price range set for initial public offering of home24 at EUR 19.50 to 24.50 per offered share

- home24 targets fixed gross proceeds of approximately EUR 150 million

- The pure primary offering consists of up to 7,692,307 newly issued shares from a capital increase. Up to 1,153,846 shares may be placed to cover potential over-allotments

Berlin, June 1, 2018 - home24 SE ("home24"), in which Rocket Internet SE ("Rocket Internet") currently holds approx. 41% of the share capital, has set the price range for its planned initial public offering at EUR 19.50 to 24.50 per offered share. The offering is subject to approval of the prospectus by the German Federal Financial Supervisory Authority (BaFin) and its publication.

The pure primary offering consists of up to 7,692,307 newly issued shares from a capital increase. Up to 1,153,846 shares may be placed to cover potential over-allotments. home24 targets fixed gross proceeds of approximately EUR 150 million from the primary offering.

The number of shares offered in the primary offering has been set so that home24 would still achieve its gross proceeds target if the offer price was set at the low end of the price range. If an offer price is set that is higher than the low end of the price range, the number of new shares issued by home24 will be reduced accordingly. At the mid-point and high end of the price range, home24 would issue 6,818,181 new shares and 6,122,448 new shares, respectively.

In case no stabilization measures are undertaken, and the banks therefore exercise the option granted to them to acquire a number of shares corresponding to the over-allotment (so-called greenshoe option), home24 will issue additional new shares and receive the proceeds from the over-allotment (so-called primary greenshoe). Rocket Internet will support the over-allotment by a securities loan from its holdings of up to 1,153,846 shares that will be returned to Rocket Internet in any event.
