Under the terms of the agreement, shareholders of Rosetta will receive 0.542 shares of Noble for each share of Rosetta common stock owned. Based on Noble’s closing price on May 8, 2015, the day prior to the announcement, Rosetta shareholders would have received compensation valued at approximately $26.62 per share.

The investigation concerns whether Rosetta’s board of directors failed to adequately shop the Company and obtain the best possible value for Rosetta’s shareholders before entering into an agreement with Noble. According to Yahoo! Finance, at least one analyst has issued a price target for Rosetta stock at $36.00 per share.
