(NYSE: RPM) announced that restricted stock, previously received by the outside directors of the company, vested on October 29, 2010. The terms of the company's 2003 Restricted Stock Plan for Directors require the mandatory withholding of that portion of the stock needed to pay the minimum federal, state and local income tax obligations of the directors with respect to the vested stock. Accordingly, Form 4s for the directors will be filed today to report the withholding of the stock as a disposition to the company to pay tax obligations.
