Under the terms of the agreement, shareholders of RTI will receive 2.8315 shares of Alcoa common stock for each share of RTI common stock they hold. Based on Alcoa’s closing stock price on March 6, 2015, RTI shareholders would have received consideration valued at approximately $41.00 per share.
