The Board is pleased to announce that the change of the Company's English name from "SCMP Group Limited" to "Armada Holdings Limited" and the adoption of "南潮控股有限公司" in place of "南華早報集團有限公司" as Chinese name (for identification purpose only) took effect on 5 April 2016. The Certificate of Registration of Alteration of Name of Registered Non-Hong Kong Company was issued by the Registrar of Companies in Hong Kong on 31 May 2016 confirming the registration of the new English and Chinese names of the Company in Hong Kong under Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong).

The stock short name of Shares for trading on the Stock Exchange will be changed from "SCMP GROUP" to "ARMADA HLDGS" in English and from "南華早報集團" to "南潮控股" in Chinese with effect from 9:00 a.m. on 20 June 2016. The stock code of the Company on the Stock Exchange will remain unchanged as "583".

The website of the Company has been changed from "www.scmpgroup.com" to "www.armada.com.hk" with effect from 5 April 2016.

Reference is made to the circular of Armada Holdings Limited (formerly known as "SCMP Group Limited") (the "Company") dated 19 February 2016 (the "Circular") in relation to, among other things, the proposed Change of Name and the announcement of the Company dated 14 March 2016 in relation to the voting results of the Special General Meeting of the Company held on 14 March 2016. Unless otherwise stated, capitalised terms used in this announcement shall have the same meanings as those defined in the Circular.

CHANGE OF NAME

The Board is pleased to announce that subsequent to the passing of a special resolution in relation to the Change of Name by the Shareholders at the Special General Meeting held on 14 March 2016, the English name of the Company has been changed from "SCMP Group Limited" to "Armada Holdings Limited" and "南潮控股有限公司" has been adopted to replace the existing name "南華早報集團有限公司" as the Chinese name (for identification purpose only) of the Company.

The Certificate of Incorporation on Change of Name was issued by the Registrar of Companies in the Bermuda on 14 April 2016 certifying that the change of the Company's English name from "SCMP Group Limited" to "Armada Holdings Limited" took effect on 5 April 2016. The Certificate of Registration of Alteration of Name of Registered Non-Hong Kong Company was issued by the Registrar of Companies in Hong Kong on 31 May 2016 confirming the registration of the new name of the Company "Armada Holdings Limited 南潮控股有限公司" in Hong Kong under Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong).

The stock short name of Shares for trading on the Stock Exchange will be changed from "SCMP GROUP" to "ARMADA HLDGS" in English and from "南華早報集團" to "南潮控股" in Chinese with effect from 9:00 a.m. on 20 June 2016. The stock code of the Company on the Stock Exchange will remain unchanged as "583".

EFFECTS OF THE CHANGE OF NAME

The Change of Name will not affect any rights of the holders of securities of the Company. The existing certificates of securities in issue bearing the former name of the Company will continue to be evidence of title to such securities and the existing share certificates will continue to be valid for trading, settlement, registration and delivery purposes. Accordingly, there will not be any arrangement for exchange of the existing share certificates of securities for new certificates bearing the new name of the Company. New certificates evidencing securities will be issued only in the new name of the Company.

CHANGE OF COMPANY WEBSITE

The website of the Company has been changed from "www.scmpgroup.com" to "www.armada.com.hk" with effect from 5 April 2016.
