MANAGER TRANSACTION

SDC INVESTIMENTOS, SGPS, S.A. INFORMS ON MANAGER TRANSACTION

In accordance with the provisions of article 248-B of the Portuguese Securities Code and article 14 of CMVM Regulation no. 5/2008, SDC Investimentos, SGPS, S.A., informs that its directors, António Manuel Pereira Caldas de Castro Henriques and Pedro Gonçalo de Sotto Mayor of Andrade Santos reported that on May, 24th, 25th and 26th, 2017, 914.667, 521.471 and 53.455 shares of SDC Investimentos, SGPS, SA ("SDCI") respectively, have been acquired, in the scope of the takeover bid (" OPA ") by Investéder - Investimentos, Lda., company of which they hold all of the share capital.

These transactions occurred on the regulated market (Euronext Lisbon) on May, 24th, 25th and 26th, 2017 having the acquired shares a unitary reference value of € 0.027.

At the close of business of May 22nd, 25th and 26th Investéder held a qualifying holding of 9,472%, 9,798% e 9,831% of the voting rights respectively.

Following these transactions, the owners of Investéder - Investimentos, Lda will hold the voting rights corresponding to the indirect holding of

15.729.571 shares.

Under the terms and for the purposes of the provisions of Commissions Implementing Regulation (EU) 2016/523 of March 10th, 2016, the forms of notification and public disclosure of the transactions made on the shares of SDCI are attached.
