PRIVILEGED INFORMATION
According to Article 248 of the Securities Code, we hereby disclose that our participated under Brazilian law, N.S.O.S.P.E. Empreendimentos e Participações S.A., held jointly by Semapa and Secil - Companhia Geral de Cal e Cimento, S.A., has executed an agreement to purchase 50% of the share capital of the Brazilian company Supremo Cimentos, S.A. held by third parties. As a result of the purchase, Semapa and Secil will indirectly own Supremo's total share capital.
Supremo is a cement company based in the south of Brazil, in the state of Santa Catarina, with an integrated clinker and cement plant in Pomerode, and concrete aggregates operations. It has just completed the construction of a new integrated clinker and cement plant in Adrianópolis, in the state of Paraná. With this new manufacturing unit in operation, which is now starting, Supremo's total installed cement capacity rises to two million tons.
The transaction will take place with an approximate value of 290 million brazilian Real (equity) and its completion is subject to the fulfilment of several conditions precedent, customary in similar operations.
