Severstal' : Corporate Event Notice “Information about the resolutions taken by the Company’s Board of directors”

Quorum for conducting the meeting and approving the Board resolutions on items of the agenda is reached.

Voting results and resolutions taken by the Company's Board of directors:

1. Voting results: The resolution is taken by a majority vote of members of the Company's Board of directors, who are not interested in execution of these transactions and who comply with the requirements set by item 3 of Article 83 of the Federal Law N 208-FZ 'On Joint Stock Companies' dated December 26, 1995 (hereinafter referred to as the Law on JSC).

The following resolution is taken:

According to Article 83 of the Law on JSC to grant the consent for the execution and approval of interested party transactions. According to part 16 of Article 30 of the Federal Law N 39-FZ 'On the Securities Market' dated April 22, 1996, information about the terms and conditions of the transactions, as well as the persons that are deemed to be the parties and beneficiaries thereunder shall not be disclosed until the transactions are concluded.

To approve the executed interested party transactions:

1). Parties: Borrower - PAO Severstal; Lender - Severstal Export GmbH; content of transaction: Content of transaction: Lender shall grant Borrower the loan, Borrower shall repay the loan as well as interest accrued on the loan; term of transaction: loan maturity date - till 19.09.2022; the contractual amount - 229,000,000 (two hundred twenty nine million); date of transaction (Agreement): 19.09.2017.

2). Parties: Supplier - AO Vorkutaugol; Vendee - PAO Severstal; content of transaction: Supplier shall deliver, Vendee shall accept and pay for the coal concentrate referred to as the Goods. Specifications shall contain the following information: description of Goods, quantity of Goods in each lot, total volume of supply for each Specification, date and period for supply as well as the total cost of supply for each Specification; term of transaction: the Agreement shall remain effective from the date of its signature till 31.03 2018 inclusively; the contractual amount: 15,000,000,000 (fifteen billion) rubles; date of transaction (Agreement): 02.10.2017.

3). Parties: Borrower - PAO Severstal; Lender - Cambay Services Limited; content of transaction: Lender shall grant the loan, Borrower shall repay the loan as well as interest accrued on the loan; term of transaction: maturity date - not later than 06.10.2019; the contractual amount: 157,500,000 (one hundred fifty seven million fifty thousand) US dollars; date of transaction (Agreement): 06.10.2017.

4). Parties: Part-2 - PAO Severstal; Part-1 - AO Karelsky okatysh; content of transaction: Parties provide each other with the loans in the aggregate amount which does not exceed loan (counter loan) limits as well pay interest accrued on the loans; term of transaction: December 31, 2018; the contractual amount - 44,497,764,363 (forty four billion four hundred ninety seven million seven hundred sixty four thousand three hundred sixty three) rubles 92 kopecks; date of transaction (Agreement): 24.10.2017.

2. Voting results: The resolution is taken by a majority vote of members of the Company's Board of directors, who are not interested in execution of these transactions and who comply with the requirements set by item 3 of Article 83 of the Law on JSC.

The following resolution is taken: According to the article 77 of the Law on JSC to determine that the price of disposed or acquired property under abovementioned interested party transactions with estimated cash value is deemed to be a market value.
