On May 26, 2015, SFX announced it had signed a definitive merger agreement with Robert F.X. Sillerman. Under the terms of the agreement, SFX shareholders will receive $5.25 in cash for each share of SFX common stock. Jefferies & Co. is acting as financial advisor to Mr. Sillerman the same firm that served as lead underwriter in the initial public stock offering (the “IPO”).

The investigation concerns whether SFX’s board failed to satisfy their duties to the Company’s shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for the Company’s shares of common stock.
