The board (the "Board") of directors (the "Director(s)") of Shenzhen Expressway Company Limited (the "Company") hereby announces that it has received letters from its shareholders Xin Tong Chan Development (Shenzhen) Company Limited (新通產實業開發（深圳）有限公司) and China Merchants Expressway Network & Technology Holdings Co., Ltd. (招商局公路網路 科技控股股份有限公司), wherein Xin Tong Chan Development (Shenzhen) Company Limited proposed Mr. Li Jing Qi cease to act as a Director and Mr. Liu Ji and Mr. Liao Xiang Wen be nominated as candidates for the Directors; and China Merchants Expressway Network & Technology Holdings Co., Ltd. proposed Ms. Zhang Yang ceased to act as a Director and Mr. Chen Yuan Jun be nominated as a candidate for the Director.

Pursuant to the articles of association of the Company and its schedules, shareholder(s) individually or collectively holding more than 1% of the issued share capital of the Company may nominate candidates for the Director. As at the date of this announcement, each of Xin Tong Chan Development (Shenzhen) Company Limited and China Merchants Expressway Network & Technology Holdings Co., Ltd. holds 30.03% and 4.00% of the total issued shares of the Company. Accordingly, the Company shall consider their written requisitions.

In the Board meeting of the Company held on 26 September 2016, the Board approved that Mr. Liu Ji, Mr. Liao Xiang Wen, and Mr. Chen Yuan Jun be nominated as the candidates for the Directors and be proposed to the general meeting of the Company for election.

The Company will arrange the change of Directors in accordance with the provisions of the relevant laws and regulations and the articles of association.

The supervisory committee (the "Supervisory Committee") of the Company hereby announces that Mr. He Sen ("Mr. He"), a shareholders' representative supervisor, has filed his resignation as a supervisor (the "Supervisor") of the Company due to work change. As Mr. He's resignation would result that the number of Supervisors is less than the statutorily required number of Supervisors, Mr. He will continue to perform his duties according to the laws and regulations and the articles of association prior to the election and appointment of the new Supervisor.

Mr. He has confirmed that he has no disagreement with the Board or the Supervisory Committee and there is no other matter relating to his resignation that needs to be brought to the attention of the shareholders of the Company or The Stock Exchange of Hong Kong Limited. The Company would like to take this opportunity to express its sincere gratitude and appreciation to Mr. He for his valuable contributions to the Company during his term of office.

The Company has received a letter from its promoter shareholder Guangdong Roads and Bridges Construction Development Company Limited (廣東省路橋建設發展有限公司), wherein it has nominated Mr. Liang Xin as the candidate for the shareholders' representative Supervisor.

Pursuant to the articles of association of the Company and its schedules, promoter shareholder(s) may nominate candidates for the shareholders' representative Supervisor and in the event of filling the causal vacancy, the original nominating party shall nominate candidates. Guangdong Roads and Bridges Construction Development Company Limited is a promoter shareholder of the Company and the original nominating party of Mr. He. Accordingly, the Company shall consider their written requisitions.

In the meeting of the Supervisory Committee held on 26 September 2016, the Supervisory Committee approved that Mr. Liang Xin be nominated as the candidate for the shareholders' representative Supervisor and be proposed to the general meeting of the Company for election.

A circular containing, among others, the particulars of Mr. Liu Ji, Mr. Liao Xiang Wen, and Mr. Chen Yuan Jun, the candidates for the Directors and Mr. Liang Xin, the candidate for the Supervisor and the notice for convening the general meeting will be dispatch to the shareholders in due course.
