Dividend distribution of €0.25 per share and 2015-2017 long term monetary incentive plan also approved

San Donato Milanese, 29 April 2015 - Snam's ordinary Shareholders' Meeting, held today in San Donato Milanese, has approved the financial statements for the year to 31 December 2014, which reported a profit of €470,470,317.60. It also confirmed Yunpeng He as a non-executive and non-independent director, who will remain in office until the end of the current Board of Directors' term and therefore until the Shareholders' Meeting is convened to approve the financial statements for the year to 31 December 2015.

The Shareholders' Meeting has also approved the reclassification of the share premium reserve as a legal reserve, so that it reaches the limit set out in article 2430 of the Italian Civil Code. Furthermore, it approved the allocation of the profit of €470,470,317.60 to the shareholders as a dividend of €0.25 per share to the shares that were in circulation on the date of the coupon payment, excluding treasury shares on that date, using the full profit from previous years and the remainder of the share premium reserve, until the total amount of the dividend is reached. The dividend will be paid on 20 May 2015 with an ex-dividend date of 18 May 2015 (record date on 19 May 2015).

In accordance with Article 114-bis of the CLFI, the Shareholders' Meeting has also approved the 2015-2017 Long Term Monetary Incentive (LTMI) Plan under the terms and conditions described in the Information Document, which bestows on the Board of Directors and subjects delegated to do so all powers necessary to implement the Plan. These include the powers to: establish the annual allocation of the incentive for the Chief Executive Officer, approve the regulations for each annual allocation, and identify beneficiaries based on the defined criteria. In addition, it also includes defining all other terms and conditions for the implementation of the LTMI Plan, to the extent that this does not conflict with the provisions of this resolution.

Finally, the Shareholders' Meeting has approved, with non-binding resolution, the report on Remuneration referred to in the third paragraph of article 123-ter of the CLFI.
