Additional Listing of Shares, PDMR Shareholding & Total Voting Rights
The Company announces that on 6 April 2018 Martin Hellawell, Non-Executive Chairman, exercised the nil-cost option over 44,552 shares awarded under the Softcat plc Annual and Deferred Bonus Plan.
An application has been made to the UK Listing Authority and the London Stock Exchange for an additional listing of 44,552 ordinary shares of £0.0005 each to trade on the London Stock Exchange.It is expected that the shares will be admitted to trade on the Official List on 12 April 2018. The shares will rank pari passu with the existing ordinary shares of the Company.
Mr Hellawell also holds 1,204 free shares which were awarded under the Company's Share Incentive Plan on 11 December 2015 which are no longer subject to a holding period.
Following these transactions, Mr Hellawell and the persons closely associated with him (namely Mandy Hellawell and The Highgate Family Trust) hold in aggregate 13,030,155 ordinary shares, which represent approximately 6.6% of the Company's issued share capital.
Total Voting Rights
Following Admission, the Company will have 197,950,695 ordinary shares in issue. The Company has no Ordinary Shares held in treasury. The total number of voting rights in the Company following Admission will therefore be 197,950,695.
