SPRING, Texas, Jan. 16, 2015 /PRNewswire/ -- Southwestern Energy Company (NYSE: SWN) announced that the underwriters of its offerings of 26,086,957 shares of its common stock and 30,000,000 depositary shares, each of which represents a 1/20th interest in a share of Southwestern Energy's 6.25% Series B Mandatory Convertible Preferred Stock (the "Convertible Preferred Stock") with a liquidation preference of $1,000 per share (equivalent to a $50 liquidation preference per depositary share) exercised their option to purchase an additional 3,913,043 shares of common stock and 4,500,000 depositary shares from Southwestern Energy at the public offering price of $23 per share of common stock and $50 per depositary share, respectively, less the underwriting discount. With this exercise, the public offerings totaled 30,000,000 shares of common stock and 34,500,000 depositary shares, representing 1,455,000 shares of Convertible Preferred Stock.

The net combined proceeds to Southwestern Energy from the offerings, including the securities previously sold are expected to be approximately $2.34 billion, after deducting underwriting discounts and commissions and other estimated offering expenses payable by Southwestern Energy. The proceeds from the offerings will be used to partially repay borrowings under Southwestern Energy's $4,500,000,000 364-day bridge term loan facility. The common stock offering and the depositary share offering are separate public offerings that have been made by means of separate prospectus supplements, and the closings of the offerings, which are expected to occur on January 21, 2015, are not contingent on one another.

Currently, no public market exists for the depositary shares. Southwestern Energy has applied to list the depositary shares on The New York Stock Exchange under the symbol "SWNC." If the application is approved, Southwestern Energy expects trading of the depositary shares on The New York Stock Exchange to commence within 30 days after the initial delivery of the depositary shares.
