Under the terms of the agreement, shareholders of Square 1 will receive 0.5997 shares of PacWest common stock for each share of Square 1. Based on PacWest’s closing price on February 27, 2015, Square 1 shareholders would have received compensation valued at approximately $27.49 per share.
