The Board of Synthos S.A. (the "Issuer") hereby discloses confidential information, publication of which was delayed under Article 57 Section 1 of the 29 July 2005 Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading and Public Companies, and on the basis of Article 2 Section 1.3 of the Regulation of the Minister of Finance of 13 April 2006 on the type of information that could compromise the legitimate interests of the issuer, and the procedure of the issuer in connection with delaying to disclose sensitive information.

Notification of delaying the disclosure obligation until July 1st 2015 has been transferred to the Financial Supervision Authority on December 24th 2014.

Contents of the Confidential Information, the disclosure of which has been delayed:

"Pursuant to § 5 section 1 point 5 of the 19 February 2009 Resolution of the Minister of Finance Regarding Current and Periodic Information Published by Issuers of Securities and Conditions for Recognising as Equivalent Information Required by the Laws of a Non-Member State (Journal of Laws of 2014, item 133 as amended) (the "Regulation"), Synthos S.A. (the "Issuer") announces that on December 23rd, 2014 the Issuer terminated a contract concluded on October 25th, 2013 by and between the Issuer and BRASKEM S/A with registered seat in Camacari, Brazil (Braskem), which was announced by current report no. 11/2014 of March 31st, 2014. The subject of the contract were deliveries of steam by Braskem to the plant, which the Issuer intended to build in Brazil. The reason for termination of the contract was non - fulfilment of condition precedent of the contract. The condition (precedent) for the entry into force of the contract was entry into force of conditional contract concluded by and between the Issuer and Braskem for delivery of butadiene to the plant, which the Issuer intended to build in Brazil. Due to the fact that termination of the contract was caused by non-fulfilment of condition precedent, it does not entail any financial effects."

One of the reasons for termination of the contract by Synthos S.A. was also the fact that the primarily envisaged budget for construction of the plant in Brazil was significantly exceeded in the cost estimation prepared by design company. Nevertheless, the Brazilian market maintains a key position in Synthos S.A. strategy and the Issuer continues his work on optimal solutions enabling for constant presence on this market.
