T&D Holdings, Inc. (the "Company", President: Tetsuhiro Kida) of the T&D Life Group (the "Group") hereby announces that its board of directors has resolved at its meeting held on February 14, 2017, the revision of dividends per share forecast as follows:

1. Reasons for the revision of dividend forecast

   The Company's basic policy is aiming to increase shareholder value and implement stable profit distribution while retaining necessary internal reserves for the Group in order to maintain a sound business base for the Company and the Group's businesses.

   In accordance with this basic policy and considering the current earnings trend, the Company has revised the year-end dividends for the year ending March 31, 2017, to dividends per share of ¥17.50, an increase of ¥2.50 from the previously announced forecast of ¥15. As a result, annual dividends adding the interim dividends (second quarter-end) of ¥15 is expected to be dividends per share of

   ¥32.50.

   This revision is scheduled to be submitted to the 13th ordinary general meeting of shareholders which will be held in June 2017.
