Result of Placing

Introduction

TalkTalk Telecom Group plc (TIDM: TALK)('TalkTalk', the 'Company'or, together with its subsidiary undertakings, the 'Group') is pleased to announce that, further to the announcement made earlier today (the 'Placing Announcement') an aggregate of 190,654,206 new ordinary shares of 0.1 pence each ('Ordinary Shares') in the capital of the Company (the 'Placing Shares') have been successfully placed by the Joint Global Co-ordinators at a price of 107 pence per Placing Share (the 'Placing Price') to raise net proceeds of approximately £200 million after expenses (the 'Placing').

Capitalised terms used in this announcement (this 'Announcement') have the meanings given to them in the Placing Announcement, unless the context provides otherwise.

The Placing and settlement

The Placing Shares, when issued, will represent approximately 19.95 per cent. of the Company's existing issued share capital. The Placing Price of 107 pence per share represents a discount of 0.6 per cent. to the middle market price at the time that the Company and the Joint Global Co-ordinators agreed the Placing Price.

The Placing Shares, when issued, will be fully paid and will rank pari passuin all respects with the existing Ordinary Shares, including the right to receive all dividends and other distributions declared, made or paid after the date of issue.

Application has been made for the Placing Shares to be admitted to listing on the premium listing segment of the Official List of the Financial Conduct Authority (the 'FCA') and to be admitted to trading on the main market for listed securities of London Stock Exchange plc, (together 'Admission').

Settlement for the Placing Shares and Admission is expected to take place on or before 8.00 a.m. on 12 February 2018. The Placing is conditional upon, among other things, upon Admission becoming effective and the Placing Agreement not being terminated in accordance with its terms.

Total voting rights

Following Admission, the Company will have a total of 1,146,269,670 Ordinary Shares in issue. With effect from Admission, this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure Guidance and Transparency Rules of the FCA.

Related Parties' participation in the Placing

The following directors and substantial shareholders of the Company, all of whom are related parties for the purposes of Chapter 11 of the Listing Rules of the FCA (the 'Listing Rules') have agreed to participate in the Placing as follows:
