On the basis of the agreements signed, subject of the press releases published on June 13, 2017 and on June 14, 2017 by TIP - Tamburi Investment Partners S.p.A. (TIP.MI, thereinafter "TIP") and Ampliter N.V. ("Ampliter", a Dutch company being transformed in a Italian limited liability company, holding company of Amplifon S.p.A.), today TIP, Ampliter and Amplifin S.p.A. ("Amplifin", company that owns 100% of Ampliter share capital) signed:

(i) the investment agreement which provides the enter of TIP (or of Asset Italia S.p.A., associated company of TIP,

through a specific purpose vehicle fully owned and controlled by Asset Italia S.p.A.) into the share capital of Ampliter through the acquisition from Amplifin, for Euro 50.000.000, of a minority stake, the precise percentage of which will be calculated on the basis of the value of the consistency of Ampliter's assets and liabilities at the closing date and (ii) the shareholders' agreement related to Ampliter that will become effective on the date of the closing.

Given the target of the parties to complete the transaction within December 2017, the agreements state January 31, 2018 as final term for the fulfillment of the conditions, mainly related to the rationalisation and simplification process already started by Ampliter.

The shareholders' agreement will be published according to the terms and manners provided by the article 122 of the Legislative Decree No. 58 of February 24, 1998 and by Consob Regulation No. 11971/99 and subsequent modifications.
