Terna: 2017 calendar of corporate events

TERNA S.p.A. ('Terna') in order to facilitate the activity of financial-market operators, announces its 2017 financial calendar for the examination of the Company's accounts by the Board of Directors:

• 20 February 2017: preliminary consolidated results for 2016;
• 15 March 2017: consolidated financial statements of the Terna Group, draft separate financial statement of Terna at 31 December 2016 and proposed allocation of income;
• 10 May 2017: interim report at 31 March 2017;
• 27 July 2017: interim financial report at 30 June 2017;
• 10 November 2017: interim report at 30 September 2017.

Alongside disclosure of the 2016 financial-statement results as well as the 2017 half-yearly financial report and interim reports, specific conference calls will be set up to present the accounting figures to financial analysts and institutional investors.
Another meeting with the financial community and media has been scheduled for 20 February 2017 to present an update of company strategies.
The Shareholders' Meeting called to approve Terna's separate financial statements at 31 December 2016, as well as the allocation of income, has been scheduled for 27 April 2017, in single call.
The payment of ordinary dividendsfor 2017, also bearing in mind the time frame fortheShareholders' Meeting to approve the financial statements, will occur as follows:

• 21 June 2017 payment of final dividend for 2016, with ex-dividend date falling on 19 June 2017 (record date pursuant to art.83-terdecies of Legislative Decree no. 58 dated 24 February 1998, known as 'Consolidated Law on Finance': 20 June 2017)
• 22 November 2017 payment of interim dividend for 2017, with ex-dividend date falling on 20 November 2017 (record date pursuant to art.83-terdecies of Legislative Decree no. 58 dated 24 February 1998, known as 'Consolidated Law on Finance': 21 November 2017)

  Pursuant to art. 82 ter of the CONSOB Issuers Regulation as amended by the CONSOB Resolution no. 19770 of 26 October 2016, we inform you that as in the past, Terna will publish -
  following resolution by the Board of Directors - the consolidated results at 31 March and 30 September of each financial year contained in the dedicated interim reports which ensure the compliance and correctness of the additional periodic financial information provided to the public and the comparability of the relative information with the corresponding data in the interim reports previously disclosed to the public.
  The relative data will be approved and disclosed on a voluntary basis following Terna's annual calendar communicated to the market and without prejudice to any provisions otherwise applied by current legislation. The documentation will be made available within the terms previously established and consequently within forty-five days of the end of the relative quarter, at the company's headquarters, on the Company website (www.terna.it), at Borsa Italiana (www.borsaitaliana.it) and from the authorised storage system '1Info' (www.1info.it). Disclosure regarding filing will be issued.
