MEDFORD, MA--(Marketwired - May 11, 2015) - The First Marblehead Corporation (NYSE: FMD) today announced its financial and operating results for the third quarter of fiscal 2015 as well as the nine month period ended March 31, 2015.

For the third quarter of fiscal 2015, the Company recorded a net loss from continuing operations of $7.8 million, or $(0.68) per share, compared to a net loss from continuing operations of $6.9 million, or $(0.61) per share, for the third quarter of fiscal 2014. The increase in the net loss from continuing operations was primarily due to a $781 thousand increase in total expenses, largely driven by increased costs related to refund management and payment processing services at the Company's subsidiary Tuition Management Systems LLC, coupled with decreased revenues of $102 thousand. The decrease in revenues was due to a lesser increase to the fair value of our service revenue receivables of $871 thousand offset by an increase of $528 thousand in tuition management fees and an increase of $241 thousand in administrative and other fees.

For the nine month period ended March 31, 2015, the Company recorded a net loss from continuing operations of $31.3 million, or $(2.72) per share, compared to a net loss of $27.5 million, $(2.45) per share, for the nine month period ended March 31, 2014. The increase in the net loss from continuing operations was primarily attributable to a $5.4 million increase in total expenses, principally due to a one-time charge of $5.0 million related to the NC Residuals legal settlement, partially offset by increased revenues. Revenues for the nine month period ended March 31, 2015 increased $1.8 million, or 5.0%, to $38.4 million. The increase in revenues included increases of $1.1 million in tuition management fees, $909 thousand in Monogram®-based fee revenues and $478 thousand in fee income from the Company's subsidiary Cology LLC. These increases were partially offset by a decline of $435 thousand in fair value changes to service revenue receivables and $273 thousand in lower revenues from special servicing of certain securitization trusts that we previously facilitated.

The discontinued operations of Union Federal Savings Bank ("Union Federal"), net of taxes, for the third quarter of fiscal 2015 was a net loss of $761 thousand, or $(0.07) per share, compared to net income of $1.8 million, or $0.16 per share, for the third quarter of fiscal 2014. The discontinued operations of Union Federal, net of taxes, for the nine month period ended March 31, 2015 was a net loss of $3.5 million, or $(0.31) per share, compared to net income of $3.2 million, or $0.29 per share, for the nine month period ended March 31, 2014. The decline in the results of Union Federal for the three and nine month periods ended March 31, 2015 was due to lower revenues, driven by decreased education loan and investment portfolio volumes, as well as a decline in other income. Other income generated by Union Federal declined for the three and nine month periods ended March 31, 2015 primarily due to a $1.4 million gain on the sale of education loans recognized in the same periods of the prior year coupled with fair value write-downs taken on Union Federal's education loan portfolio and mortgage loan portfolio during the three and nine month periods ended March 31, 2015.

For the third quarter of fiscal 2015, total facilitated private education loan volumes were $104.3 million, consisting of $9.2 million of Monogram-based loans, a 13% increase over the same quarter of the prior year after excluding Union Federal facilitated volumes for the prior year period, and $95.1 million of loans facilitated by Cology LLC, a 56% increase over the same quarter of the prior year. Loan disbursements, excluding Union Federal, for the third quarter of fiscal 2015 totaled $312.1 million, consisting of $48.0 million of Monogram-based loans, a 28% increase over the same quarter of the prior year, and $264.1 million of loans disbursed by Cology LLC, a 15% increase over the same quarter of the prior year. 

For the nine month period ended March 31, 2015, total facilitated private education loan volumes, excluding Union Federal, were $667.2 million, consisting of $107.1 million of Monogram-based loans, a 33% increase over the same period of the prior year, and $560.1 million of loans facilitated by Cology LLC, a 13% increase over the same period of the prior year. Loan disbursements, excluding Union Federal, for the nine month period ended March 31, 2015 totaled $690.7 million, consisting of $109.6 million of Monogram-based loans, a 29% increase over the same period of the prior year, and $581.1 million of loans disbursed by Cology LLC, a 14% increase over the same period of the prior year. 

The increase in Monogram-based loan volume for the three and nine month periods ended March 31, 2015 as compared to the same periods a year ago was primarily the result of the Union Federal® Private Student Loan Program funded by SunTrust Bank, which was launched on June 13, 2014. In addition, for the nine month period ended March 31, 2015 as compared to the nine month period ended March 31, 2014, marketing programs employed during peak season contributed to the increased loan volume.

The increase in Cology LLC loan volume for the three and nine month periods ended March 31, 2015 as compared to the same periods a year ago was primarily the result of organic growth at existing clients, including new loan programs.

Company Liquidity
As of March 31, 2015, the Company had cash and cash equivalents and short-term investments from continuing operations of $50.7 million compared to $56.8 million at December 31, 2014. The decrease of $6.1 million was primarily the result of cash used to fund continuing operations coupled with net fundings for participation interest accounts partially offset by the return of $1.4 million in participation interest account funds held at Union Federal.

Use of Non-GAAP Financial Measures
In addition to providing financial measurements based on U.S. generally accepted accounting principles ("GAAP"), the Company has included in this press release an additional financial metric that it refers to as "net operating cash usage" that was not prepared in accordance with GAAP. The Company defines "net operating cash usage" to approximate cash required to fund its operations. "Net operating cash usage" is not directly comparable to the Company's consolidated statements of cash flows prepared in accordance with GAAP. Legislative and regulatory guidance discourages the use of, and emphasis on, non-GAAP financial metrics and requires companies to explain why a non-GAAP financial metric is relevant to management and investors.

The Company's management and its board of directors use this non-GAAP financial metric, in addition to GAAP financial measures, as a basis for measuring and forecasting the Company's core operating performance and comparing such performance to that of prior periods. This non-GAAP financial measure is also used by the Company in its financial and operational decision-making.

The Company believes that the inclusion of this non-GAAP financial metric helps investors to gain a better understanding of its results, including its expenses and liquidity position. In addition, the Company's presentation of this non-GAAP financial measure is consistent with how it expects that analysts may calculate their estimates of its financial results in their research reports and with how clients, investors, analysts and financial news media may evaluate its financial results.

There are limitations associated with reliance on any non-GAAP financial measure because any such measure is specific to the Company's operations and financial performance, which makes comparisons with other companies' financial results more challenging. Nevertheless, by providing both GAAP and non-GAAP financial measures, the Company believes that investors are able to compare its GAAP results to those of other companies, while also gaining a better understanding of its operating performance, consistent with management's evaluation.

"Net operating cash usage" should be considered in addition to, and not as a substitute for, or superior to, financial information prepared in accordance with GAAP. "Net operating cash usage" excludes the effects of income taxes, acquisitions or divestitures, participation interest account net fundings and changes in other assets and other liabilities that are solely related to short-term timing of cash payments or receipts.
