This cash and stock transaction is expected to close in the first calendar quarter of 2013 and is valued at approximately $3 billion.

The investigation centers on whether SHAW shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues SHAW stock, and whether SHAW's board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal. "Due to the size of the deal and other factors, we want to ensure that shareholders are receiving a fair price for their SHAW shares.
