The amendments of the Articles of Association of
the Bank:
Since the Registered Capital Ceiling permission
granted by the Capital Markets Board of Turkey to the
Bank will expire by the end of 2012, it was resolved at
our Bank's Board of Directors meeting dated December
1, 2011 that Article 7 of the Bank's Articles of
Association be amended in accordance with the draft
amendment attached hereto in order to increase the
Registered Capital amount from TL 7,000,000,000 to TL
10,000,000,000 and to extend the date of the Registered
Capital Ceiling permission to the year 2016 and the Head
Office be authorized to file necessary applications to
the Banking Regulation and Supervision Agency, Capital
Markets Board of Turkey and the other relevant official
authorities in order to conclude the above-mentioned
process and execute any and all operations related
thereto.

Association of the Bank are attached.
Purchase of Shares:
At our Bank's Board of Directors meeting dated
December 1, 2011, it was resolved that the Head Office be
authorized to conduct any and all acts regarding the
purchase of the shares representing 5.86% of the paid-in
capital of Garanti Finansal Kiralama A.
