United Rentals, Inc. (NYSE:URI) today announced that its subsidiary, United Rentals (North America), Inc. (“URNA”), has priced its offerings of $1 billion principal amount of 4.625% Senior Secured Notes due 2023 (the “2023 Notes”) and $800 million principal amount of 5.500% Senior Notes due 2025 (the “2025 Notes,” and together with the 2023 notes, the “Notes”) in registered public offerings.

The 2023 Notes offered by URNA will rank:

  • equally in right of payment with all of its existing and future senior indebtedness,
  • effectively junior to any of its existing and future first-priority lien indebtedness, and
  • senior in right of payment to any of its existing and future subordinated indebtedness.

The 2025 Notes offered by URNA will rank:

  • equally in right of payment with all of its existing and future senior indebtedness,
  • effectively junior to any of its existing and future secured indebtedness, and
  • senior in right of payment to any of its existing and future subordinated indebtedness.

URNA’s obligations under the Notes will be guaranteed on a senior basis by United Rentals, Inc. and certain of URNA’s domestic subsidiaries.

Net proceeds from the sale of the Notes are expected to be approximately $1.78 billion. URNA intends to use the net proceeds from its offering of the Notes to redeem $750 million principal amount of its 5.75% Senior Secured Notes due 2018 and to redeem $750 million principal amount of its 8.375% Senior Subordinated Notes due 2020 and to pay the associated call premiums. The remaining $192 million of estimated net proceeds will be applied to repay borrowings under its asset-based revolving credit facility and to pay related expenses. URNA expects the Notes offering to close on March 26, 2015, subject to customary closing conditions.

Wells Fargo Securities, BofA Merrill Lynch, Barclays, Citigroup, Deutsche Bank Securities, JP Morgan and Morgan Stanley are the joint book-running managers for the offerings, with Wells Fargo Securities serving as lead book-running manager.
