Uralkali (LSE: URKA; the Company) announces the decisions made by the Board of Directors at a meeting on 10 April 2014:

  • the Board has approved the Company's consolidated financial statements for the full year ended 31 December 2013 prepared in accordance with IFRS
  • the Board has resolved to convene the Company's Annual General Meeting of Shareholders ("AGM") in Berezniki on 9 June 2014 and to approve AGM's agenda; shareholders registered as at the record date of 22 April 2014 will be eligible to participate and vote at the meeting
  • the Board has included as an item in the AGM's agenda the approval of a new edition of Uralkali's Charter; the draft of the Charter will be available on Uralkali's corporate website
  • the Board has recommended that the AGM approve a dividend payment for 2013 of RUB 1.63 per share1
  • the Board has recommended that the AGM approve that shareholders registered as at the record date of 20 June 2014 be eligible to receive the dividend payment for 2013
  • the Board has confirmed CJSC "Computershare Registrar" as the Registrar of Uralkali from 17 April 2014
  • the Board has appointed Mr. Nikolai Morozov to the position of the Director of Internal Control and included him into the Management Board.
