VALARTIS GROUP AG : Transaction between Banque Cramer & Cie SA and Valartis Bank AG, Switzerland successfully closed

Banque Cramer & Cie SA, a wholly owned subsidiary of Norinvest Holding SA, has taken over 100 percent of Valartis Bank AG, Switzerland and Valartis Wealth Management SA  from Valartis Group and the integration has been successfully completed. Upon the closing of the transaction, which was authorised by FINMA, Valartis Bank AG, Switzerland was fused with Banque Cramer & Cie SA and the affiliated Valartis Wealth Management SA changed name to become Cramer Wealth Management SA.

Merger successfully completed
Banque Cramer & Cie SA, a wholly owned subsidiary of Norinvest Holding SA, has taken over 100 percent of Valartis Bank AG, Switzerland and Valartis Wealth Management SA from Valartis Group and the integration has been successfully completed. The business areas were formerly wholly owned subsidiaries of Valartis Group.

Valartis Group to take a 25 percent stake in Norinvest Holding SA
In return, Valartis Group will acquire a holding of around 25 percent in Norinvest Holding SA.
All share purchases will be made exclusively on the basis of respective equity capital plus adjustments, and in cash. Valartis Group will use purchase price proceeds to reduce obligations in connection with other Group companies.

As a shareholder in Norinvest Holding SA, Valartis Group will be represented with one seat each in the Supervisory Boards of Norinvest Holding SA and Banque Cramer & Cie SA. Like Valartis Group, Norinvest Holding SA is also listed on the Swiss Stock Exchange, SIX Swiss Exchange.
