RESIGNATION OF INDEPENDENT NON-EXECUTIVE DIRECTOR AND MEMBER OF NOMINATION COMMITTEE

The board (the ''Board'') of the directors (the ''Directors'') of West China Cement Limited (the ''Company'') announces that Mr. Xu Delong (''Mr. Xu'') has tendered his resignation as independent non-executive Director and as member of the nomination committee of the Company with effect from 10 June 2014.
Mr. Xu resigned as independent non-executive Director of the Company due to a change in his personal job coupled with his obligation to comply with the relevant requirements of the
''Opinions on Further Regulation on Party and Political Leaders and Cadres holding (offices)
part-time offices in Enterprises''《(
關於進一步規範黨政領導幹部在企業兼職（ 任職）問題的
意見》) of the CPC Central Committee.
Mr. Xu has confirmed that he has no disagreement with the Board and there are no other matters with respect to his resignation that need to be brought to the attention of the shareholders of the Company.
The Board would like to take this opportunity to express its appreciation to Mr. Xu for his valuable contributions to the Company during his tenure of office.
