Appointment of Director

The Wharf (Holdings) Limited (the "Company") is pleased to announce the appointment of Professor Eng Kiong YEOH ("Professor Yeoh") as an additional independent non-executive director ("INED") of the Company effective from 1 July 2014.
Professor Yeoh, GBS, OBE, JP, MBBS(HK), FHKAM, FHKCCM, FHKCP, FFPHM(UK), FRCP(Edin), FRCP(Lond), FRCPS(Glasg), FRACMA, FRACP, aged 68, is Professor of Public Health, Director at the Jockey Club School of Public Health and Primary Care of The Chinese University of Hong Kong and also Head of Division of Health System, Policy and Management at the Jockey Club School of Public Health and Primary Care. He is involved in collaborative work with research networks in studies on health systems and in training for public policy, as Chairman of the World Bank Institute / Asia Network for Capacity Building in Health Systems Strengthening. Professor Yeoh is a member to the International Advisory Board of the National University of Singapore Initiative to improve health in Asia, which seeks to contribute to thinking and policy formulation in public health & health systems development in Asia.

Professor Yeoh served as Secretary for Health, Welfare and Food of the Government of the Hong Kong Special Administrative Region ("HK Government") between 1999 and 2004. From 1990 to 1999, he was Head of the Hong Kong Hospital Authority with responsibility for the management and transformation of the public hospital system.

As a clinician, Professor Yeoh pioneered public health programmes in the prevention of Hepatitis B and HIV/AIDS. He has held many key positions in professional bodies, both locally and internationally. Professor Yeoh was appointed a Justice of the Peace in 1993 and awarded an Order of the British Empire in 1997. In 2005, he was awarded the Gold Bauhinia Star Medal by HK Government in recognition of his public service.

As at the date of this announcement, Professor Yeoh has interests (within the meaning of Part XV of the Securities and Futures Ordinance (the "SFO")) in 4,000 shares of the Company, representing 0.00013% of the aggregate number of shares of the Company in issue.

Save as disclosed above, Professor Yeoh does not presently and did not in the past three years hold any directorship in any other listed public company. Professor Yeoh does not have any relationship with any directors, senior management or any substantial or controlling shareholders of the Company, and he does not have any interest (within the meaning of Part XV of the SFO) in any securities of the Company. Professor Yeoh will receive from the Company a director's fee at the rate of HK$100,000 per annum, which is in line with that payable to other directors of the Company ("Directors"), including INEDs. Upon his appointment becoming effective, no service contract would exist between the Company as well as its subsidiaries (the "Group") and Professor Yeoh, and therefore no emolument will be payable to him by the Group apart from the abovementioned director's fee. To the best knowledge of the Directors, in relation to the appointment of Professor Yeoh, there is no information which is discloseable nor has he ever been involved in any of the matters required to be disclosed pursuant to any of the requirements of the provisions under paragraphs 13.51(2)(h) to 13.51(2)(v) of the Listing Rules, and there is no other matter requiring to be brought to the attention of the shareholders of the Company. In accordance with the provisions of the Company's articles of association, Professor Yeoh will hold office until he retires from the board of directors of the Company (the "Board") at the Annual General Meeting of the Company to be held in or about June 2015.
