I, 15(f!, holder of Hong Kong identity card number of G073007(5) , wi th residential address of F'lat C, 11 /F'., Mei Foo Sun Chuen, 15 Humbert St. Mei Foo Hong Kong, as at today, beneficially holds an aggregate of 2,200,000 domestic shares of RMBI.OO each (each, a "Share") of Your Company (the "Shares"), representing approximately 0.54% ofthe total issued share capitai ofYour Company.
l understand that the Offeror proposes to make mandatory generai offers in cash for ali the issued securities of Your Company other than those already owned or agreed to be acquired by the Offeror and the parties acting in concert with i t (the "Generai Offer"). Pursuant to the Generai Offer, the Offeror wi Il make an offer at HK$1.78 for each Share (the "Share Offer").
With respect to the Generai Offer, I hereby unconditionally and irrevocably undertakes to the Offeror and Your Company that:-
(l) I wili not accept the Share Offer or seli any of the Shares to the Offeror or parties acting in concert with i t under the Share Offer;
(2) I will not take any other action to make the Shares available for acceptance of the Share Offer; and
(3) I shall keep the Shares and will not sell, transfer, dispose of any Share to the Offeror or other third parties or otherwise create any interest on the Shares before the close ofthe Generai Offer.
This letter of undertaking shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region of the People's Republic of China and each party hereby submits to the non-excl usive jurisdiction of the courts of Hong Kong Special Administrative Region ofthe People's Republic ofChina as regards any claim or matter arising under this letter of undertaking.
This letter of undertaking is to be executed as a deed. Dated the 2nd day ofOctober, 2013
