POSTING OF CIRCULAR TO MEDICLINIC SHAREHOLDERS RELATING TO THE ACQUISITION OF THE MINORITY INTERESTS 
IN EMIRATES HEALTHCARE HOLDINGS LIMITED (EMIRATES HEALTHCARE)

1.    Introduction
      Mediclinic shareholders are referred to the terms announcement released on the Securities
      Exchange News Service of the JSE Limited (SENS) on Monday, 27 August 2012 and
      published in the South African press on Tuesday, 28 August 2012, relating to the acquisition of
      the minority interests in Emirates Healthcare (Emirates acquisition), part of which is a related
      party transaction in terms of the JSE Listings Requirements.

      All expressions defined in the terms announcement and used in this announcement shall bear
      the meaning assigned to those in the terms announcement, unless such words or expressions
      are otherwise defined in this announcement.

2.    Posting of the circular
      A circular will be posted during the course of today, 18 September 2012, to Mediclinic
      shareholders (the circular), the purpose of which is to provide Mediclinic shareholders with
      information relating to the Emirates acquisition and to convene a general meeting at which
      Mediclinic shareholders will be requested to vote on the resolution to approve the Varkey stake
      acquisition.

      The circular contains the report of the independent expert and incorporates a notice of general
      meeting and a form of proxy for the general meeting.

      Mediclinic shareholders are advised that a copy of the circular will be made available on
      Mediclinics website: www.mediclinic.com.

3.    General meeting of Mediclinic shareholders
      A general meeting of Mediclinic shareholders will be held at 09:30 on Tuesday, 16 October
      2012, at Neethlingshof Estate, Polkadraai Road, Vlottenburg, Stellenbosch to consider and, if
      deemed fit, pass the resolution required to authorise the implementation of the Varkey stake
      acquisition (general meeting).
