Reference is made to the announcement on the resolution of the board of directors (the "Board") of Agricultural Bank of China Limited (the "Bank") dated 29 June 2015. Mr. LIN Xiaoxuan was appointed as an executive vice president of the Bank at the meeting of the Board held on 29 June

2015, subject to the ratification of his eligibility by China Banking Regulatory Commission (the

"CBRC").

The Bank has received the Approval on the Eligibility of Mr. LIN Xiaoxuan of Agricultural Bank of China Limited (Yin Jian Fu [2015] No. 542) from the CBRC recently. According to the relevant regulation, the CBRC has ratified Mr. LIN Xiaoxuan's eligibility to serve as an executive vice president of the Bank.

The Bank would like to welcome Mr. Lin Xiaoxuan to join the Bank.
