ARC Capital Holdings Limited Delisting from AIM and future of the Company


On 15 September 2015, ARC Capital Holdings Limited (the 'Company' or 'ARCH') (AIM: ARCH) announced that the resignation of the Company's Nominated Adviser (the 'Nomad') had become effective and, as a result, pursuant to AIM Rule 1, ARCH shares would remain suspended from trading on AIM until a new Nomad had been appointed.


Despite the Board's best efforts, the Company has not been able to reach an agreement for the appointment of a replacement Nomad and, as a consequence, the admission of the Company's ordinary shares to trading on AIM is expected to be cancelled at 7.00 a.m. on 16 October 2015.


The Company is aware of ongoing discussions between certain shareholders of the Company to explore the possibility of a potential future acquisition of all the Company's ordinary shares. The Company understands these discussions remain ongoing and the terms of such acquisition (if any) have not been agreed, and that no binding agreement has been entered into between any of the parties involved.


Notwithstanding the above, it should be noted that there is no certainty that any such transaction will be agreed or implemented, nor, if it is implemented, as to timing or its terms.


As a result of the Company delisting, the Company will no longer be able to release announcements via an RIS, therefore the Company will provide updates via its website (http://www.arch-fund.com) as appropriate.
