APPOINTMENT OF EXECUTIVE DIRECTOR

This announcement is made by Asia Allied Infrastructure Holdings Limited (the "Company", together with its subsidiaries, collectively the "Group") pursuant to Rule 13.51(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules").

The board of directors of the Company (the "Board") is pleased to announce that Madam Li Wai Hang, Christina ("Madam Li") has been appointed as an Executive Director of the Company with effect from 2 November 2017.

The biographical details of Madam Li are set out below:

Madam Li Wai Hang, Christina

Madam Li, aged 66, joined the Group in 1975 and has over 42 years' experience in the construction industry. Madam Li previously acted as an Executive Director of the Company from July 1992 to February 2015 and had continued to be a member of the senior management of the Group thereafter. Madam Li has rejoined the Board as an Executive Director of the Company since November 2017. She also holds directorships in certain subsidiaries of the Company. Madam Li is the mother of Mr. Pang Yat Ting, Dominic, the Chairman of the Board and Executive Director of the Company, and Ir Dr. Pang Yat Bond, Derrick, Executive Director and the Chief Executive Officer and Chief Operating Officer of the Company. She is a director of GT Winners Limited ("GT Winners"), the controlling shareholder of the Company (as defined in the Listing Rules). Madam Li and Mr. Pang Yat Ting, Dominic each owns 45% equity interest in GT Winners.

As at the date of this announcement, Madam Li has a personal interest in 10,880,875 shares of the Company and is deemed to be interested in the 1,169,793,645 shares of the Company and 209,510,735 underlying shares of the Company pursuant to certain convertible bonds of the Company held by GT Winners within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong). Save as disclosed above, Madam Li does not have any relationship with any other directors, senior management, substantial shareholders or controlling shareholders of the Company (as defined in the Listing Rules) and does not hold any directorships in any other listed public companies in Hong Kong or overseas in the last three years before the date of this announcement.

Madam Li has entered into a service contract with the Company with no fixed terms of services but is subject to retirement by rotation and re-election in accordance with the bye-laws of the Company. Madam Li is entitled to a salary and other benefits totalling HK$1,761,720 per annum, which is determined with reference to her duties and responsibilities and the prevailing market conditions. She is also eligible for a performance-based bonus subject to the approval of the Remuneration Committee of the Board. The service contract may be terminated by either party by giving three months' written notice.

Except for the foregoing, Madam Li confirms that there is no other information which is discloseable pursuant to any of the requirements under Rules 13.51(2)(h) to (v) of the Listing Rules and there are no other matters that need to be brought to the attention of the shareholders of the Company.
