Banco Cruzeiro do Sul S/A, a publicly-held financial
institution, pursuant to paragraph 4 of Article 157 of Law
6404/76, of December 15, 1976, as amended, and CVM
Instruction 358, of January 3, 2002, as amended, as well as
with other applicable provisions, hereby informs the market
that on this date it entered into a Share Purchase Agreement
for the acquisition of
88.7194% of the capital stock of Banco Prosper S.A. for R$55
million.
Established in 1991, Banco Prosper is a multiple-service bank
with a presence in São Paulo, Rio de Janeiro and Salvador
which operates in the commercial, credit, financing and
investment segments and has a license to deal on the FX
market.
This transaction is in line with Banco Cruzeiro do Sul's
strategy of actively participating in the consolidation of
the Brazilian financial market, enhancing its presence in the
paycheck- deductible personal loan segment, expanding its
operations in other areas of the Brazilian financial market,
adding value thanks to efficiency gains in its units and
strengthening its position in the Brazilian market.
Further details on this transaction will be provided during a
conference call to be held on December 27th,
2011 at 12:00 p.m. (Brasília time) in Portuguese and 12:45
p.m. (Brasília time) in English.
The acquisition is still subject to the authorization of the
Brazilian Central Bank and other usual conditions
precedent.
The Bank will keep its shareholders and the market informed
of the progress of the transaction.
