Pursuant to article 82 of Law 24/1988 of 28 July on the Securities Market, Bankia, S.A. hereby reports that the company's Board of Directors, at its meeting held today, has unanimously resolved as follows, upon a prior favourable report from the Appointments and Remuneration Committee:

1. Appointment of Director Mr. José Sevilla Álvarez as Chief Executive Officer of the company.

2. Appointment, by co-option, of Mr. Antonio Ortega Parra as Executive Director of the company.

3. Appointment of Director Ms. Eva Castillo Sanz as member of the Board Risk Committee.

Bankia Board of Directors appoints José Sevilla as CEO

Antonio Ortega, appointed Executive Director of the bank

The Management Committee is expanded to seven members with the addition of Fernando Sobrini (Head of Retail Banking) and Gonzalo Alcubilla (Head of Business Banking)

Madrid, 25/06/2014. The Board of Directors of Bankia, at the proposal of the Appointments and Remuneration Committee, today approved the appointment of José Sevilla as the bank's new Chief Executive Officer.

José Sevilla has served since 16 May 2012 as General Director of the Office of the Chairman of Bankia and on 25 May of that same year was appointed Executive Director of the bank.
The Board of Directors also decided today to appoint Antonio Ortega, currently General Director of People, Organisation and Technology of the Bank, as Executive Director of the bank.
As a result, the Bankia Board of Directors now has 11 members, composed of three Executive Directors and eight Independent Directors.
Changes were also approved on the Board of Directors committees. Eva
Castillo, Independent Director, has now joined the Board Risk Committee.
Furthermore, the Board of Directors approved the appointments as Deputy General Director of Fernando Sobrini, Head of Retail Banking, and Gonzalo Alcubilla, Head of Business Banking. Both are joining the Management Committee, which will now have seven members instead of five.

Bankia's Executive Chairman José Ignacio Goirigolzarri noted that: "These changes mark one more step in strengthening Bankia's corporate governance. They allow the bank to advance toward the objectives set for this stage of the bank's turnaround. We believe this is the right time for the Heads of the business lines to have a greater say in the bank's decisions".

José Sevilla. Degree in Economics and Business Studies from CUNEF. He has been General Director of the Office of the Chairman of Bankia since 16 May

2012 and Member of the Board as an Executive Director of the Bank since 25
May of that year. He is also Member of the Board of Banco Financiero y de Ahorros since June 2012. José Sevilla was General Director for Risks, Head of the Office of the Chairman and Director of the Division of Strategy and Finance for the Americas in BBVA. He has held a directorship in BBVA Bancomer. Previously he worked in Merrill Lynch and FG Inversiones Bursátiles.

Antonio Ortega. Degree in Law and Doctorate in Business Studies. He is

General Director of People, Organisation and Technology of Bankia since 16
May 2012 and Director of BFA since June 2012. From 2003 to 2007 he held directorships in BBVA Bancomer and BBVA Continental, and from 2003 to 2006 he was also Vice Chairman of Banca Nazionale del Lavoro. During his time in BBVA he held various executive responsibilities in business areas and was a member of the Group's Management Committee.

Eva Castillo. Degree in Law and Business Studies from Universidad Pontificia de Comillas (E-3) of Madrid. She has been a member of the Bankia Board of Directors since May 2012. She is a Director in Telefónica S.A., chairs the Supervisory Board of Telefónica Deutschland and is a member of the Board of Trustees of the Fundación Comillas-ICAI. She previously worked in Merrill Lynch, where she became Chair of its Spanish subsidiary.

Fernando Sobrini. Degree in Law and Business Studies and Economics. He joined the Bank in 1998, serving as South Madrid Business Director and Head of the bank's Corporate Business. Before joining the group he worked in Bankinter as Head of Risks and Large Corporations. Gonzalo Alcubilla. Degree in Economics. His entire career has been pursued at the Bank, where he has served as Director of the Investment Portfolio, Director of Corporate Banking, Director of Corporate Finance, Assistant General Director and Director of Corporate Business, a position he held in Bankia until

March 2013, when he was named Head of Business Banking.
