São Paulo, November 03, 2016 - BR Insurance Corretora de Seguros SA ('Company' or 'BR Insurance') in addition to the material facts disclosed on May 25, 2016 and October 18, 2016, in compliance with the provisions of paragraph 4 of Article 157 - Law 6.404 / 76 and CVM Instructions 358/02 and 565/15, announces that the Company's shareholders approved today at the Extraordinary General Meeting, the incorporation of the subsidiaries: BI Ribeirão Corretora de Seguros Ltda, Classic Corretora de Seguros Ltda, Europa Insurance Services Assessoria em Gestão Empresarial Ltda, Lasry Corretora de Seguros Ltda, Megler B.I. Corretora de Seguros Ltda, SHT Administração e Corretora de Seguros Ltda, Umbria Administração e Corretagem de Seguros Ltda, Umbria Insurance Services Assessoria em Gestão Empresarial, York Brukan B.I. Assessoria, Administradora e Corretora de Seguros Ltda and Victrix Administração e Corretagem de Seguros Ltda.:

The merger happened without a capital increase and without issuance of new shares, eliminating the Company's investments in its subsidiaries in contrast to the direct absorption of the respective assets and liabilities. Furthermore, the merger did not result in any change in the Company's Bylaws, giving no withdrawal rights to dissenting shareholders or the shareholders of the incorporated subsidiaries. In the face of such approval, the Administration informs that will propose other incorporations until the end of the year.
