BRASIL INSURANCE PARTICIPAÇÕES E ADMINISTRAÇÃO S.A. ("Company"), in addition to the material fact published on March 18, 2015, hereby informs its shareholders and the market in general that, on this date, the discussions that had been held with GP Investments Ltd. on the non-binding terms with the purpose of the proposal of primary subscription of minority interest in the Company have been closed, with the termination of the exclusivity that had been granted. The Company confirms that, except for such exclusivity and confidentiality instrument, there was no signing of any document or binding obligation.
