The College Retirement Equities Fund ('CREF'), managed by TIAA-CREF Investment Management LLC ('TCIM'), hereby informs you as of July14, 2015it holds116,833 shares of Cape Plc. CREF ownsthese shares in its investment account, the CREF Stock Account. It is our understanding the total voting shares outstanding ofCapePlc is 121,103,937 bringing CREF's ownership in your company to a 0.096% level.

Additionally, Nuveen Investments, Inc. ('NII'), sold 200,469 shares on July 13, 2015, bringing the total owned by Nuveen Investments, Inc. to 3,388,669 shares in Cape Plc. The combined TIAA-Nuveen enterprise now has aggregated holdings of 3,505,502 shares or 2.895% of the issued and outstanding voting shares in Cape Plc.

Each of TCIM and NII are aggregating their holdings in Cape Plc as required by current FCA Disclosure and Transparency Rules. However, each of TCIM and NII separately and independently vote all proxies for shares held in Cape Plc.
