Issue of New Shares

Capital & Regional announces that 1,000,000 new ordinary shares in the Company have been issued and allotted and will be transferred to the Capital & Regional plc Employee Share Ownership Trust 2002 at their nominal value of 1 pence each. The shares will be used to satisfy share awards that are due to vest shortly under the Capital & Regional plc 2008 Long Term Incentive Plan.

An application has been made for these shares to be admitted to the Premium Segment of the Official List of the United Kingdom Listing Authority, to trading on the London Stock Exchange's Main Market for listed securities, and to be listed on the Johannesburg Stock Exchange. It is expected that admission will occur on 27 June 2018.

Following the issue of the shares, the total number of shares in issue and voting rights in Capital & Regional will be 723,240,102 with effect from 27 June 2018. This may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Capital & Regional under the UK Financial Conduct Authority's Disclosure and Transparency Rules.
