MATERIAL FACT

Pursuant to CVM Instruction 358, CCR S.A. ("CCR") (Bovespa: CCRO3; Bloomberg: CCRO3BZ; Reuters: CCRO3.SA), hereby informs its shareholders and the market in general that its subsidiary Concessionária do Sistema Anhangüera-Bandeirantes S.A. ("CCR AUTOBAN") has executed the 27th Modification Amendment ("TAM") to Public Service

Concession Agreement 005/CR/1998 ("Concession Agreement"), with the State of São Paulo, represented by ARTESP - São Paulo State Transportation Regulatory Agency ("GRANTING AUTHORITY").

The object of said TAM is the implementation of works to improve road access to the Aparecidinha neighborhood of Campinas (SP) vis the interchange at km 103+860 of the SP-330 highway, plus the respective investments in equipment and special conservation and routine conservation costs, jointly totaling three million, twenty-nine thousand, six hundred and seventy reais and forty-four centavos (R$3.029.670.44), at current values based on December 2013. Because this is a new investment, the economic and financial rebalancing of the Concession Agreement took place through the marginal cash flow methodology by extending the term of the Concession Agreement by two (2) days.
