CCR : Notice to the Market - Shareholders´ Agreement

For the purposes of CVM Instruction no. 358/02 and in continuation of the Relevant Fact disclosed by CCR S.A. ("CCR") (Bovespa:CCRO3; Bloomberg: CCRO3BZ; Reuters:CCRO3.SA) on March 9, 2017 (in which it informed its shareholders and the market that it executed a Private Instrument of Stock Purchase Agreement and Other Covenants ("Agreement") with ODEBRECHT TRANSPORT PARTICIPAÇÕES S.A. ("OTPP"), having as

consenting intervening parties ODEBRECHT TRANSPORT S.A ("OTP"), as guarantor, and Concessionária da Linha 4 do Metrô de São Paulo S.A. ("VIAQUATRO"), to purchase all ownership interest held by OTPP in VIAQUATRO corresponding to fifteen per cent (15%) of its capital, with due regard for the terms of the Shareholders' Agreement of VIAQUATRO), CCR informs its shareholders and the market that, on this date, after meeting the conditions precedent established in the Agreement, CCR has financially concluded the purchase of fifteen per cent (15%) of the shares issued by VIAQUATRO previously held by OTPP.

With the conclusion of such purchase, the ownership interest in VIAQUATRO will be as follows:
