China Minsheng Banking : Announcement on Pledge Release and Pledge of Shares by Shareholders

The Company recently received a notice from Oceanwide International Equity Investment Co., Ltd. (Oceanwide Equity), and was informed that Oceanwide Equity has pledged an amount of 100,000,000 ordinary H shares it held in the Company to the London Branch of UBS, which accounted for 0.27% of the total issued shares of the Company. The term of pledge is 36 months after 31 May 2017.

On 15 June 2017, China Oceanwide Holdings Group Co., Ltd. (China Oceanwide) proceeded to release the pledge of an amount of 144,663,847 ordinary A shares it held in the Company, which accounted for 0.40% of the total issued shares of the Company. On the same day, China Oceanwide pledged the amount of 144,663,847 ordinary A shares it held in the Company to China Fortune International Trust Co., Ltd., which accounted for 0.40% of the total issued shares of the Company. The term of pledge was 24 months after 15 June 2017.

China Oceanwide has pledged an aggregate amount of 1,679,652,182 ordinary A shares it held in the Company, while Oceanwide Equity has pledged an aggregate amount of 6,864,600 ordinary H shares it held in the Company, totaling the pledge amount to 2,183,236,307 shares, which accounted for 5.98% of the total issued shares of the Company.

As at the date of this announcement, China Oceanwide holds 1,682,652,182 ordinary A shares in the Company, China Oceanwide International Investment Co., Ltd. (Oceanwide International) holds 6,864,600 ordinary H shares in the Company, and Oceanwide Equity holds 503,584,125 ordinary H shares in the Company. The aggregate number of ordinary shares of the Company held by China Oceanwide, Oceanwide International and Oceanwide Equity is 2,193,100,907, accounting for 6.01% of the total issued shares of the Company.
