Berlin / Teltow, 07 June 2018, 8:48 a.m. - The management board of CO.DON AG notifies that of the convertible bonds in the aggregate nominal amount of up to 15.3 million Euro the issue of which has been resolved by the management board with the approval of the supervisory board on May 23, 2018, 28,1% have been subscribed for by exercise of the subscription right of the shareholders including 26.8% which have been subscribed for by the major shareholder of CO.DON AG, the Bauerfeind Beteiligungsgesellschaft mbH. Of the bonds with warrants in the aggregate nominal amount of up to 2.0 million Euro, the issue of which has also been resolved by the management board with the approval of the supervisory board on May 23, 2018, 25% have been subscribed for by Bauerfeind Beteiligungsgesellschaft mbH.

As reported on May 23, a financial investor has committed to CO.DON AG to acquire all Bonds that are not subscribed for by exercise of the subscription right of the shareholders, under the condition that the investor can subscribe for at least 70% of both the convertible bonds and the option bonds. On the basis of the result of the subscription offer to the shareholders it is now certain that this condition has been fulfilled. By complete placement of the bonds planned to close next week, CO.DON AG will, after transaction costs, receive additional liquid funds of approximately 14 million Euro. In case of complete exercise of the warrants attached to the bonds with warrants the company would receive further liquid funds of approximately 12.8 million Euro.
